Following meetings of the Governance, Nomination and Remuneration Committee (GNRC) on October 16 and the Board of Directors on October 17, 2026, the lender formally accepted his cessation request, which has now been forwarded to the Reserve Bank of India (RBI) for regulatory approval under Section 35B of the Banking Regulation Act, 1949.

The RBI 15-Year Ceiling and CEO Succession

Bharucha’s planned departure follows the RBI’s sanction of Anup Bagchi (former ICICI Prudential Life CEO) to take over as Managing Director and CEO of HDFC Bank on October 27, 2026, succeeding Sashidhar Jagdishan.

Bharucha was one of the internal candidates shortlisted by the Board for the chief executive role. However, his candidacy was structurally circumscribed by the RBI’s governance guidelines dated April 26, 2021, which cap the continuous tenure of whole-time directors (WTDs) and MD/CEOs at 15 years:

  • Having served as a Whole-Time Director on HDFC Bank’s board since June 2014, Bharucha was set to hit the statutory 15-year ceiling in June 2029.
  • This gave him a remaining regulatory runway of under three years, conflicting with the central bank’s supervisory preference for multi-year executive continuity at systemically important financial institutions (D-SIBs).
