Executive Summary

Godrej Industries Group (GIG) has announced its formal entry into India’s private credit ecosystem with the launch of its maiden Category-II Alternative Investment Fund (AIF).

Managed through Godrej Asset Management Company (AMC), the fund is targeting a total corpus of ₹2,000 crore, which includes a base issue of ₹1,000 crore and a green-shoe option of an additional ₹1,000 crore.

The fund will focus on a sector-agnostic performing credit strategy, providing structured growth capital to established mid-market private enterprises with proven operating cash flows.

Key Fund Strategies & Capital Architecture

The fund has been structured around capital preservation and customized mid-market debt solutions:

  • Performing Credit Strategy: Shifting away from distressed assets to target performing mid-market private corporates that require flexible, non-dilutive expansion capital outside rigid commercial banking norms.
  • Collateral & Covenant Security: Investments will be senior-secured, backed by hard physical collateral, robust cash-flow coverage, and strict negative covenants to protect investor capital.
  • Domestic Wealth Mobilization: Capital is being raised through private placement from family offices, Ultra High Net Worth Individuals (UHNIs), and domestic institutional accounts seeking predictable, risk-adjusted corporate debt yields.

Strategic Context within the Godrej Group

This launch marks a significant expansion of Godrej Industries Group's financial services footprint.

Following Pirojsha Godrej assuming the role of chairperson, the group is building an integrated financial services stack—combining retail mortgage and gold lending through Godrej Capital with institutional asset management and alternative credit via Godrej AMC.
