Fairfax will acquire a controlling 60.72% stake for ₹52,878 crore at ₹81.00 per share, concluding a multi-year divestment journey and reshaping India’s private banking landscape.
The Deal Architecture: Government and LIC Monetisation
Under the Cabinet-cleared framework, the promoter group will transfer majority control while retaining non-promoter equity:
- Government of India (GoI): Divesting 30.48%, trimming its residual holding to 15%.
- Life Insurance Corporation of India (LIC): Divesting 30.24%, unlocking an immediate cash windfall of ₹26,337 crore, while retaining a 19% stake (204.3 crore shares valued at ~₹18,566 crore).
- Board Transition: Both GoI and LIC will withdraw their board nominees and reclassify as public shareholders. Because the transaction represents a secondary share transfer, public shareholders receive no direct cash payout, though the ₹81 benchmark establishes a valuation floor.
